Position Summary The College of Saint Benedict and Saint John's University invite applications for the full-time, benefit-eligible position of General Counsel and Executive Secretary to the Boards (GCSB). The GCSB oversees the provision of legal services to CSB and SJU to ensure the strategic assertion of its legal rights and prerogatives. The GCSB provides executive assistance to the presidents in support of the mission and strategic directions of CSB and SJU as well as policy research and writing, consultation, and support to the presidents, the boards and to senior administrators. The GCSB is the primary liaison to the CSB and SJU boards of trustees and responsible for corporate governance and coordination of the work of the boards and committees. In addition, the GCSB serves as the Title IX Coordinator for CSB and SJU. The GCSB is a member of the presidents’ leadership team and reports directly to the presidents. The GCSB must be able to analyze all matters as to their relative importance, sensitivity, and immediacy, representing and making key decisions on behalf of the presidents, often without direct supervision, at all times requiring outstanding initiative, analysis and judgement. Responsibilities PRIMARY RESPONSIBILITIES: - Provide legal counsel and guidance to the management of the institutions on all relevant legal matters. - Research, draft, and propose procedures, regulations, bylaws, and other legal documents. - Represent or oversee the representation of the institution, board and management in judicial and administrative proceedings, and in negotiations with individuals and agencies. - Provide training and development to the campus community on various legal and enterprise risk management issues through seminars, meetings and other methods. - Consults with and advises the administrative staff on legal matters including academic, business, employee and student grievances, complaints and disciplinary matters. - Serve as the institutions’ lead Title IX coordinator, providing collaborative leadership and direction to the Title IX team, ensuring compliance with institutional policy and procedures, state and federal regulations, and training requirements. - Coordinates the planning, execution and evaluation of all meetings of the CSB and SJU Boards of Trustees, its committees and task forces. - In collaboration, plans and executes a robust, strategic and forward-thinking board formation and development program. - Collaborate with the presidents to plan, conduct and evaluate the work of the leadership team, maintaining proper records and connecting this work with the work of the board. - Respond to constituent concerns or inquiries about issues affecting CSB and SJU. Research and prepare correspondence, reports, position papers and agendas at the presidents’ request. - Maintain proper institutional records and confidential files. Ensure confidentiality of all data collected in accordance with institutional protocols and legal requirements. - Performs other duties as assigned. Qualifications REQUIRED QUALIFICATIONS: Education and Experience: J.D. from an ABA accredited law school. Member of Minnesota State Bar, or member in good standing of the State Bar of another state and eligible for admission to the Minnesota Bar. Experience directly related to the position as general counsel within a higher education setting. Significant professional experience working with college/university boards and executives. Training and certification in Title IX strongly preferred. Skills and Abilities: - Ability to provide legal advice and counsel to administration on a wide range of legal and policy issues. Knowledge of the range of applicable laws and regulations which impacts colleges and universities. Significant skill in analyzing, researching, formulating policies and writing reports, coupled with excellent communication skills – both orally and in writing – on education, legal, governance, organizational and public policy issues. - Ability to execute on board goals and priorities. - Demonstrated commitment to diversity, equity, inclusion and justice. - Strong ethical judgment, public relations skills, and ability to navigate highly difficult situations and/or crises. Ability to work with others sensitively and effectively, especially where discretion or confidentiality is required. - Ability to interact with and relate to diverse constituents including alumni and alumnae, faculty, students, donors, board members and members of the community, from a wide range of backgrounds and experiences. - Ability to establish priorities and to complete tasks effectively and on schedule. - Ability to audit the policies and practices at the college and university to identify gaps and areas where legal attention and counsel would be most beneficial. AFLAC SUPPLEMENTAL INSURANCE This voluntary plan offers an additional level of financial protection for you and your family in the event of a serious accident or illness. LIFE INSURANCE CSB/SJU provides a Basic Life and Accidental Death and Dismemberment (AD&D) policy to employees. This insurance is effective on the first of the month following date of hire. The amount of term insurance provided is based on your annual salary as follows: Salary Life Insurance $0-$20,000 $50,000 $20,001-$37,500 $75,000 $37,501-$50,000 $90,000 $50,001+ $100,000 Employer provided life insurance in excess of $50,000 is subject to imputed income tax (a tax on the value of the premium). You may also purchase additional life insurance in increments of one, two, three, or four times your annual salary. There is also a dependent life insurance package available. LONG-TERM DISABILITY After one year of benefit eligible employment, CSB/SJU provides disability coverage in the event of an illness or injury that prevents you from working. This plan provides a benefit that equals 60% of your basic monthly earnings to a maximum monthly benefit of $11,000. This benefit may be payable, provided the employee is unable to perform the usual and customary duties of his/her occupation. VACATION Paid vacation is accrued based upon FTE and the number of years employed. Vacation is cumulative from year to year to a maximum of 240 hours. Employees working 100% time receive the following: Vacation days per year Years employed 15 days 1-10 years 20 days 11+ years FLEXIBLE SPENDING ACCOUNTS HEALTH SAVINGS ACCOUNT These plans allow employees to set aside part of their salary on a pre?tax basis to pay for IRS approved expenses. VISION PLAN This voluntary plan offers affordable vision coverage for routine eye exams, eyeglass lenses and frames, and contact lenses. Discounts on hearing exams and hearing aids are also included. TUITION REMISSION Tuition remission is an educational benefit provided by CSB/SJU. A full time employee and spouse (if applicable) are eligible for tuition free educational benefits the first full semester after six months of employment. The payment of special fees is the responsibility of the employee. Full time employees may enroll for one undergraduate course per term, which includes summer; up to a maximum of 2 courses per year. There is also a tuition remission program for dependent children of full time employees. This program provides a financial resource to a son or daughter for meeting the tuition costs of undergraduate education. Eligibility begins the fall or spring semester following 5 years (60 months) of continuous full-time employment. CSB/SJU will grant tuition remission the next full semester to the dependent, providing the dependent meets the academic requirements. There are also two consortia programs in which CSB/SJU participate where employees' children may apply for scholarships to attend other colleges/universities. PARENTAL LEAVE A paid leave (up to 15 days) will be granted to eligible employees upon the birth or adoption of a child, pro-rated based on FTE. New employees are eligible for this benefit after twelve months of employment. SICK LEAVE Full-time employees earn up to 9 days of sick leave per year, pro-rated based on FTE. Sick leave is cumulative from year to year up to a maximum of 720 hours (90 days). Employees may also use accumulated personal sick leave to care for ill family members. EMPLOYEE ASSISTANCE PROGRAM The Employee Assistance Program (EAP) is a free counseling resource available to all employees and immediate family members. EAP counselors can help you identify problems and concerns regarding family, marriage, emotions, alcohol or drugs, financial difficulties, legal issues and job stress. All contacts between you, your family, and the EAP are provided as a benefit from CSB/SJU and are kept strictly confidential. RETIREMENT Defined Contribution Plan CSB/SJU provides a retirement program for all qualified full time employees. The program is administered by Teachers Insurance and Annuity Association (TIAA). Enrollment in the retirement plan will be effective the first day of the month following the date of hire unless the employee elects to opt-out. TUITION ASSISTANCE The tuition assistance plan is an educational grant provided by CSB/SJU to a qualified son or daughter of a full time employee toward meeting the tuition costs at Saint John's Preparatory School. The dependent must meet the eligibility criteria in order to receive this grant.
